Short answer

As of October 3, 2026, franchise broker registration is in force in two states, New York and Washington. California enacted SB 919 in 2024 and funded it in the 2026-27 budget, with registration expected from July 1, 2027. NASAA adopted a model act on May 4, 2026 that no state has enacted yet.

This tracker records public rules and their status. It is not legal advice; confirm requirements with the state regulator or an attorney before acting.

Franchise broker registration by state: status legend

This registry lists every US state, the District of Columbia, the NASAA model act and the federal FTC Rule, with the status of franchise broker registration on 2026-10-03. Franchise broker registration here means a rule that a third party who sells franchises for a franchisor, whatever its title (broker, consultant, coach, referral source), must register with a state regulator before selling.

  • In force: a broker must register before offering or selling in the state today.
  • Enacted, not yet effective: the law is passed but registration has not started.
  • Model act: a template states may adopt; binding nowhere on its own.
  • None found: no broker registration found by the checks described in the entry.

Evidence levels. Primary means we opened the statute, regulation or regulator page. Corroborated means we ran a statute-text screen and bill search and rely on NASAA’s July 28, 2025 statement that only New York and Washington require registration. Dates are the date of the action; for None found and long-standing rules, the date is the date we checked, as each entry notes.

We check this registry monthly. Last checked: 2026-10-03.

NASAA Model Franchise Broker Registration ActModel actModel law for states: brokers and their representatives register annually, give a disclosure statement (litigation and prior-year compensation) before discussing a specific franchise, and keep records for five years. Covers people who call themselves consultants, coaches, lead generators or referral sources.
Not binding until a state enacts it; we found no state that has. Fee amounts are left blank for each state. Current franchisees are excluded unless they receive more than $5,000 a year for franchise sales.

Amended Rule published at 72 FR 15444 (March 30, 2007). Applies nationwide: every FDD receipt should identify any broker involved, and any franchise seller, brokers included, violates the Rule by making claims that contradict the disclosure document (16 CFR 436.9). What changed in franchise broker registration, 2024 to 2026

Between May 2024 and October 2026 the number of states with franchise broker registration in force did not change: it was two (New York and Washington) at the start and two at the end. What changed was the pipeline. California enacted a registration law in September 2024 and funded it in June 2026, and NASAA turned a 2024 draft into an adopted model act in May 2026. The table below lists every dated change we found, with its evidence level.

One record conflicts with another. DFPI’s broker page, updated May 7, 2026, says SB 919 is unfunded (DFPI). The 2026-27 enacted budget detail lists $125 thousand for the broker registration system (Department of Finance), and the May 14, 2026 request it carried forward said registration begins July 1, 2027 (Department of Finance letter). We treat the budget documents as the later and stronger record and flag the regulator’s page as not yet updated.

New York: franchise sales agent registration

New York requires third-party franchise sellers to register, at a one-time cost of $150. The statute calls them franchise sales agents: anyone who directly or indirectly offers or sells a franchise on behalf of another, other than the franchisor and its employees (N.Y. Gen. Bus. Law 681(8)). Such a person may not offer or sell a franchise in New York until a franchise agent’s application is filed and the Department of Law issues an order of registration (Gen. Bus. Law 683(13)).

The fee is $150 (Gen. Bus. Law 694(1)(c)). The Attorney General’s Form I, revised April 2018, asks about pending actions, past convictions or civil liability, and injunctions, and is filed by mail with the Investor Protection Bureau (Form I). There is no annual renewal: the regulation requires an updated disclosure form when the agent’s name, address or management changes (13 NYCRR 200.11), and Form I tells brokers to notify the Department by letter when they stop selling for a franchisor.

What it means: New York’s rule reaches anyone selling for a franchisor, which by its wording includes consultants who are paid by franchisors. We found no public online search of registered brokers on the Attorney General’s franchise pages.

Washington: annual franchise broker license

Washington licenses franchise brokers each calendar year for $50, then $25 a year. A franchise broker is any person in the business of offering or selling franchises other than the franchisor, subfranchisor and their staff (RCW 19.100.010(7)). It is unlawful for an unregistered broker to offer or sell a franchise in the state, and unlawful for a franchisor, subfranchisor or franchisee to employ one (RCW 19.100.140).

Fees are $50 for an original registration and $25 for each annual renewal (RCW 19.100.240(4)); the application form charges nothing for an amendment and $50 to re-apply after a lapse (DFI application form). Licenses expire December 31 (WAC 460-82-050) and are filed online (WAC 460-80-138). A broker can hold a license before any franchisor appoints it, but may not make offers until the franchisor files the appointment page (DFI franchise FAQ). The director may deny, suspend or revoke a broker’s registration for grounds that include dishonest or unethical practices in the franchise industry (RCW 19.100.252).

Of the two in-force states, only Washington lets a buyer look a broker up online: DFI’s Securities Licensee Database has a Franchise (Exemptions and Brokers) search, updated twice daily. Users must agree not to use results for commercial purposes; the page cites RCW 42.56.070(9), and in the current codified text the commercial-purposes restriction on lists of individuals appears in subsection (8) (RCW 42.56.070). For that reason this report publishes no names, lists or counts drawn from the database.

California SB 919: funded, but not yet operating

California’s law goes furthest of the three, but it is not operating yet. SB 919 was approved on September 24, 2024 as Chapter 518 (SB 919 chaptered text). It defines a franchise broker by function and pay, regardless of title, and lists franchise seller, broker network, franchise sales organization, consultant and coach as examples (Corp. Code 31020).

  • Registration: $450 to register and $50 to amend; each registration expires December 31 (Corp. Code 31500(h), (i); 31520(c)).
  • Disclosure: before discussing an opportunity, the broker must give the buyer a Uniform Franchise Broker Disclosure Document covering services, how the broker is paid, five years of experience, legal actions, industries represented, and brands sold in the last calendar year with units sold (Corp. Code 31526, 31527).
  • Records: five calendar years (Corp. Code 31523). Liability: a broker who sells in violation is liable to the franchisee and to the franchisor (Corp. Code 31300(b)).

Timing depends on money. The registration part becomes operative on the later of July 1, 2026 or one year after the Legislature appropriates funds (Corp. Code 31528). The 2026-27 budget, signed June 29, 2026 (Governor), includes $125 thousand for DFPI’s system changes, and the Department of Finance says registration begins July 1, 2027. A law firm reached the same date on July 2, 2026 (UB Greensfelder). DFPI’s own pages still say no funding has been approved (DFPI FAQ); they were last updated May 7, 2026.

In the meantime, California already makes franchisors identify sellers: its application instructions require a Sales Agent Disclosure Form (or NASAA Franchise Seller Disclosure Form) for each person offering or selling the franchise in California (DFPI instructions). An April 2026 Assembly analysis of AB 2795 proposed fixing a cross-reference SB 919 had changed by mistake (committee analysis); the bill was chaptered September 20, 2026 as Chapter 410, and the chaptered digest we could read lists no franchise broker change (CalMatters Digital Democracy).

The NASAA Model Franchise Broker Registration Act

NASAA’s model act would extend registration to anyone paid to steer buyers toward franchises, but it binds no one until a state enacts it. NASAA adopted the act on May 4, 2026 (NASAA release) after a first draft for comment on May 13, 2024 and a revised draft on July 28, 2025 (NASAA, July 28, 2025).

  • Scope: people paid for locating prospects, acting as an intermediary, screening or assessing buyers, managing prospects for franchisors, or giving buyers information about offerings. The prefatory note says they may call themselves brokers, advisors, business coaches, consultants, lead generators or referral sources (model act text).
  • Registration: brokers and individual representatives register; registrations expire December 31 and renewals are due 30 calendar days before. States may add exams and continuing education for individuals.
  • Disclosure: a statement of material litigation and prior-year compensation before discussing a specific franchise.
  • Exclusion: current franchisees of the brand, unless they receive more than $5,000 a year for franchise sales.
  • Fees: left blank for each state.

We searched state codes and 2024 to 2026 bill records on 2026-10-03 and found no enactment of the model act.

The other registration states and the federal floor

The other 12 franchise registration states (including California until its law operates) do not register brokers today, but 7 of them make the franchisor name its third-party sellers in the state filing. NASAA’s 2008 guidelines include a Franchise Seller Disclosure Form (Form D) to be filed for every person who may sell, including an independent broker, where the state requires it (NASAA 2008 guidelines). Counting New York and Washington, 9 of the 14 registration states use this second layer.

  • Illinois once registered brokers for one-year terms. Section 13 of the Franchise Disclosure Act, titled Registration of franchise brokers, was repealed effective October 1, 2009 (815 ILCS 705/13; 2008 text); franchisors now file Form D for any seller (Lathrop GPM; Illinois Attorney General).
  • Hawaii’s statute defines a franchise broker or selling agent and has the offering circular include their identity and business experience as the director prescribes (HRS 482E-2, 482E-3).
  • South Dakota counts third-party brokers as franchise sellers subject to its conduct rules but asks for no seller form (South Dakota Division of Insurance).
  • Virginia marks salesman disclosure forms Not Required (Virginia SCC); Michigan and Wisconsin list none.
  • Oregon, which has a franchise law but no state filing, makes franchise sellers keep records and carry liability, without registering them (ORS chapter 650).

A federal floor applies everywhere. The FTC Rule treats third-party brokers as franchise sellers, and the FDD receipt must give the name, address and phone number of each franchise seller offering the franchise (16 CFR 436.1(j), 436.5(w)(2)).

How to check whether a franchise broker is registered

A buyer can check a broker in four steps, and only Washington offers an online lookup. For background on what brokers do, see what a franchise consultant does.

  1. Where you live or will operate. If it is Washington, search the DFI licensee database under Franchise (Exemptions and Brokers). If it is New York, ask the broker for its order of registration; the Attorney General’s franchise guide lists the Investor Protection Bureau’s contact details.
  2. The FDD receipt. Item 23 of every Franchise Disclosure Document must name each franchise seller offering you the franchise (16 CFR 436.5(w)(2)). If a broker introduced you and is not named, ask why.
  3. How the broker is paid. The FTC Rule mentions brokers only in its definition of franchise seller and asks for no disclosure of a broker’s pay (16 CFR Part 436); California will require it from 2027 and the NASAA model act would. Ask directly. Our guide on how franchise consultants get paid explains the usual arrangements.
  4. The state’s franchise registration. In the 14 registration states, check that the brand itself is registered or filed; our franchise statistics by state report covers where franchises operate.

Registration is a filing, not an endorsement of a broker’s advice. Whether a broker is worth using is a separate question, covered in are franchise consultants worth it.

Franchise broker rules sit in state statute books and regulator filing systems, so checking a broker means checking the state where you buy.

Original analysis: how we calculated it

Population coverage of franchise broker registration

Formula
(NY + WA population) / US population; then (NY + WA + CA) / US
Inputs
F66, F67, F68, F69; D01 to D05
Result
8.2% now; 19.7% once California operates (2.4 times as many residents)
Limitations
Population stands in for buyers. The rules attach to offers and sales made in the state, so a broker based elsewhere selling to a New York or Washington buyer is covered.

Fee and renewal comparison

Formula
Five-year cost = initial fee + annual renewals over five years
Inputs
F03, F09, F10, F19, F21; D08 to D11
Result
New York $150; Washington $150; California $2,250 (first-year fee 9 times Washington's)
Limitations
California sets no separate renewal fee; we assume annual re-registration at $450 because registrations expire each December 31. Excludes notary, legal and amendment costs.

Timeline of changes, 2024 to 2026

Formula
Dated list of every change found, each with an evidence level
Inputs
F17, F26 to F33, F35, F42, F43; D16, D17
Result
11 dated changes from May 13, 2024 to September 20, 2026, plus California's scheduled July 1, 2027 start: 1,010 days after SB 919's approval and 367 days after the budget was signed
Limitations
Bills that search engines did not index may be missing; the start date could move if DFPI's systems are late.

Seller-naming layer in the 14 registration states

Formula
Count of registration states whose regulator checklist requires a seller disclosure form (or broker licensing) naming third-party sellers
Inputs
F06, F13, F34, F50, F51, F53, F55, F59 to F64; D06, D15
Result
9 of 14 states (28.2% of US residents); Maryland unconfirmed; Michigan, South Dakota, Virginia and Wisconsin list no seller form
Limitations
Based on published checklists; regulators may request forms case by case. A seller form names sellers to the regulator, not to the buyer; the FDD receipt does that nationwide.

Summary

  • Franchise broker registration is in force in 2 of 51 jurisdictions (50 states and DC) as of 2026-10-03: New York (N.Y. Gen. Bus. Law 683(13)) and Washington (RCW 19.100.140).
  • New York and Washington together held 8.2% of the US population on July 1, 2025 (Census Vintage 2025); that rises to 19.7% once California’s registration operates.
  • California’s SB 919 (Chapter 518, Statutes of 2024) is enacted but not operating. Its trigger was a budget appropriation: the 2026-27 enacted budget includes $125,000 for the system, and the Department of Finance says registration begins July 1, 2027.
  • DFPI’s own franchise broker page, last updated May 7, 2026, still says the program is unfunded. That page predates the June 29, 2026 budget signing, so the regulator’s page and the budget documents disagree on funding.
  • NASAA adopted its Model Franchise Broker Registration Act on May 4, 2026. It reaches people who call themselves consultants, coaches, lead generators or referral sources if they are paid for franchise sales work. We found no state that has enacted it.
  • Registration is cheap where it exists: $150 one time in New York, $50 plus $25 a year in Washington. California’s $450 annual registration would cost $2,250 over five years.
  • A second layer exists in 9 of the 14 franchise registration states: the franchisor’s filing must name each third-party seller on a seller disclosure form or, in Washington, through broker licensing. Nationwide, the FTC Rule requires the FDD receipt to name every franchise seller, brokers included.

Questions people ask

Do franchise brokers need a license?

Only in some states. As of 2026-10-03, a franchise broker must register before selling in New York (N.Y. Gen. Bus. Law 683(13), $150 fee) and Washington (RCW 19.100.140, $50 plus $25 a year). California’s SB 919 requires registration from its operative date, which the Department of Finance puts at July 1, 2027. We found no broker registration rule in the other 48 jurisdictions, and NASAA said in July 2025 that there is no federal regulation of franchise brokers.

Which states require franchise broker registration?

Two states have franchise broker registration in force on 2026-10-03: New York and Washington. California enacted registration in 2024 (SB 919) and funded it in the 2026-27 budget; registration is expected from July 1, 2027. Illinois registered brokers until it repealed that section effective October 1, 2009 (815 ILCS 705/13).

Do franchise consultants have to register?

Where registration exists, the title does not matter. California’s SB 919 names consultant and coach as titles brokers use (Cal. Corp. Code 31020), and NASAA’s 2026 model act lists consultants, lead generators and referral sources (prefatory note). New York’s rule covers anyone who offers or sells a franchise on behalf of another (Gen. Bus. Law 681(8)), and Washington’s covers anyone in the business of offering or selling franchises (RCW 19.100.010(7)). In the other states, we found no registration for consultants.

How do I check if a franchise broker is registered?

In Washington, search the DFI Securities Licensee Database under Franchise (Exemptions and Brokers); it updates twice daily. In New York, ask the broker for its order of registration; we found no public online search. Everywhere, check that the broker is named on the Item 23 receipt of the FDD, which must list each franchise seller offering the franchise (16 CFR 436.5(w)(2)).

What is the NASAA franchise broker model act?

It is a model law NASAA adopted on May 4, 2026 for states to enact. It would require brokers and their individual representatives to register each year, give buyers a disclosure statement on litigation and prior-year pay before discussing a specific franchise, and keep records for five years. It is not binding until a state enacts it, and we found no state that has as of 2026-10-03.

Frequently asked questions

Is franchise broker registration the same as franchise registration?

No. Franchise registration is the franchisor registering its offering (its FDD) with a state; 14 states require a registration or filing, and NASAA counts 15. Broker registration is a separate filing by the third-party seller, required only in New York and Washington as of 2026-10-03.

How much does it cost to register as a franchise broker in Washington?

$50 for an original registration and $25 for each annual renewal (RCW 19.100.240(4)). Licenses expire December 31 each year (WAC 460-82-050), so five years cost $150.

How much does New York charge to register a franchise broker?

$150 for a franchise agent’s application (N.Y. Gen. Bus. Law 694(1)(c)), filed on Form I by mail with the Attorney General’s Investor Protection Bureau. Neither the statute nor 13 NYCRR Part 200 sets an annual renewal.

When does California's franchise broker law take effect?

The registration part is operative on the later of July 1, 2026 or one year after a budget appropriation (Cal. Corp. Code 31528). The 2026-27 budget signed June 29, 2026 funds the system, and the Department of Finance says registration begins July 1, 2027. DFPI’s page, last updated May 7, 2026, still says the program is unfunded.

Will California's SB 919 cover franchise consultants and coaches?

Yes, if they are paid by a franchisor, franchisee or their affiliates for franchise sales. The definition applies regardless of title and lists consultant and coach among common titles (Cal. Corp. Code 31020).

Do franchise brokers have to disclose how they are paid?

Not under current federal rules: 16 CFR Part 436 mentions brokers only in the definition of franchise seller. California’s broker disclosure document must explain how the broker is paid once SB 919 operates (Corp. Code 31527(g)), and the NASAA model act would require prior-year compensation disclosure.

Where does a broker's name appear in the FDD?

On the Item 23 receipt. The FTC Rule requires the receipt to give the name, principal business address and telephone number of each franchise seller offering the franchise, and franchise sellers include third-party brokers (16 CFR 436.1(j), 436.5(w)(2)).

Did Illinois used to require franchise broker registration?

Yes. Section 13 of the Illinois Franchise Disclosure Act was repealed by P.A. 96-648, effective October 1, 2009. Illinois now has franchisors file a Franchise Seller Disclosure Form (Form D) for each seller, including brokers.

What happens if a broker sells in Washington without registering?

It is unlawful, and so is a franchisor employing an unregistered broker (RCW 19.100.140). The DFI director may also deny, suspend or revoke a broker’s registration on listed grounds, including dishonest or unethical practices in the franchise industry (RCW 19.100.252).

Does the FTC regulate franchise brokers?

Not through registration. NASAA said on July 28, 2025 that there is no federal regulation of franchise brokers. The FTC Rule does bind brokers as franchise sellers: they must be named on the FDD receipt, and it is a violation for any franchise seller to make claims that contradict the disclosure document (16 CFR 436.9).

Press summary and suggested headlines

Only two states, New York and Washington, require franchise brokers to register before selling, according to a state-by-state check of all 50 states and the District of Columbia completed on October 3, 2026 by Franchise Consultants and Brokers. Those two states held 8.2% of the US population in 2025. California enacted a broader law, SB 919, in 2024, and its 2026-27 budget includes $125,000 to build the registration system; the state's Department of Finance says registration begins July 1, 2027, which would raise coverage to 19.7% of US residents. California's regulator page, last updated in May, still describes the program as unfunded. The North American Securities Administrators Association adopted a model act on May 4, 2026 that would reach consultants, lead generators and referral sources, but no state has enacted it. Fees are low where registration exists: $150 once in New York, $50 plus $25 a year in Washington. The registry lists every jurisdiction with a source and evidence level and is checked monthly.

Methodology

Scope. The registry covers the 50 states, the District of Columbia, the NASAA model act and the FTC Franchise Rule. A jurisdiction counts as having franchise broker registration if a statute or regulation requires a third party who offers or sells franchises for a franchisor to register or be licensed with a state agency before selling.

Sources and checks. For the 14 franchise registration or filing states (California, Hawaii, Illinois, Indiana, Maryland, Michigan, Minnesota, New York, North Dakota, Rhode Island, South Dakota, Virginia, Washington, Wisconsin) and Oregon, we opened the franchise statute on the official legislature site, searched it for broker, sales agent, salesperson and seller terms, and read the regulator’s franchise filing page. For the other 36 jurisdictions we ran a statute-text screen (one search per state on a state-code mirror for five broker and seller terms; result titles read), a seven-query search for 2024 to 2026 bills, and relied on NASAA’s July 28, 2025 statement that only New York and Washington require registration. These entries are marked Corroborated, not Primary. Some sites block non-US traffic; we used a US proxy for those, and a Wayback Machine capture where both routes failed (California’s SB 919 text, Wisconsin’s statute PDF). Every source was opened on 2026-10-03.

Inclusion and exclusion. We included only rules that apply to third-party sellers. Franchisor registration fees appear only as context. We excluded Maryland’s 2026 Franchise Reform Act from the change log because its text does not mention brokers, and we published no names, lists or counts from Washington’s licensee database because of its non-commercial-use condition. No individual broker is named.

Conflicting records. DFPI’s broker page (updated May 7, 2026) says SB 919 is unfunded; the 2026-27 enacted budget detail and the Department of Finance’s May 14, 2026 letter say it is funded and starts July 1, 2027. We report both and treat the later budget records as controlling for timing, marking California as enacted, not yet effective.

Derived metrics. Population coverage uses Census Vintage 2025 state estimates for July 1, 2025 (50 states and DC sum to 341,784,857). Five-year costs add initial and renewal fees from statute. The calculations and inputs are in derived.csv; scripts are in the report’s scripts folder.

Limitations. None found is the result of the checks described, not proof that no rule exists; local rules, agency guidance and 2026 session laws not yet codified could be missed. Population is a proxy for buyers covered. Fee schedules can change by statute. This report is not legal advice.

Updates. Checked monthly. Last checked 2026-10-03; next check 2026-11-03.
